The PRIZMOZI Terms of Service lays out the agreement between the graphic design company and its customers. This document defines what PRIZMOZI offers and outlines the responsibilities of those using the service. Topics include intellectual property rights, ending the agreement, liability, dispute resolution, and payment. By using PRIZMOZI's services, customers agree to these terms.

 

Definitions - In this agreement, the terms "PRIZMOZI," "our," "we," and "us" refer to the graphic design company PRIZMOZI. "User," "you," and "your" refer to the person or entity using our services. "Service" refers to the graphic design services provided by PRIZMOZI.

Scope of Service - PRIZMOZI provides professional design services to users. By using our services, you agree to be bound by these terms and conditions.

• Payment - Payment must be processed before work can commence. PRIZMOZI will provide an invoice that you must settle in order for the project to begin.

• Social Media Management - Pending posts must be approved by you within 48 hours of the scheduled post date. If not approved, the post will be disregarded. You may opt to have the post moved to a different day at your discretion. Posts/revisions submitted before 3:30 pm will be returned by the end of business two business days later. Post/revision submissions received after 3:30 pm will be addressed and responded to within two business days starting from the day after the submission was made. PRIZMOZI has two business days to respond and make requested changes after an edit request is submitted. One edit is allowed per post, defined as one major graphical revision, not including minor text edits.

• Graphic Design - PRIZMOZI aims to provide high-quality design services that meet your needs. You are entitled to one free revision to ensure satisfaction with the final product. Revisions must be submitted within two business days of receiving the initial draft. Revisions submitted before 3:30 pm will be returned by the end of two business days later. Revision submissions received after 3:30 pm will be addressed and responded to within two business days starting from the day after the submission was made. PRIZMOZI has two business days to respond and make requested changes after an edit request is submitted.

• Video/Animation - You are entitled to one free revision to ensure satisfaction with the final product. Revisions must be submitted within two business days of receiving the initial draft. Revisions submitted before 3:30 pm will be returned by the end of three business days later. Revision submissions received after 3:30 pm will be addressed and responded to within three business days starting from the day after the submission was made. PRIZMOZI has three business days to respond and make requested changes after an edit request is submitted.

• Audio - You are entitled to one free revision to ensure satisfaction with the final product. Revisions must be submitted within two business days of receiving the initial draft. Revisions submitted before 3:30 pm will be returned by the end of two business days later. Revision submissions received after 3:30 pm will be addressed and responded to within two business days starting from the day after the submission was made. PRIZMOZI has two business days to respond and make requested changes after an edit request is submitted.

• Email Correspondence - PRIZMOZI will respond to emails within two business days. The company values prompt communication, and we will do our best to respond promptly to your inquiries.

User Responsibilities - The user is responsible for providing clear and accurate information to PRIZMOZI and for ensuring that the use of our services complies with all applicable laws and regulations. You agree not to use our services for any illegal or unethical purpose, and do not submit any content that is harmful, threatening, abusive, or otherwise violates the rights of others.

 

Third-Party Subscriptions - Our website design service requires a third-party subscription through Wix.com. This subscription is essential for hosting and maintaining your website effectively. PRIZMOZI is a graphic design agency specializing in creative solutions; however, we do not operate our own Web Hosting Server.
 

User Accounts - To use our services, you must create an account with PRIZMOZI. You are responsible for maintaining the confidentiality of your account information and for any activity that occurs under your account.

Intellectual Property - PRIZMOZI retains all rights, title, and interest in and to the services, including all designs and any other intellectual property produced by us in the course of providing the services. You grant PRIZMOZI a non-exclusive, transferable, royalty-free license to use, copy, modify, and distribute the content you provide to us for the purpose of providing the services.

Termination - PRIZMOZI reserves the right to terminate the services at any time, with or without cause, and with or without notice. In the event of termination, you will no longer have access to the services and any designs created by PRIZMOZI will become the sole property of PRIZMOZI.

Unresponsive Clients - The client agrees to maintain regular communication with the Agency during the project. This includes responding promptly to requests for feedback, approvals, and any other information required for project progression. If the client fails to communicate or respond to any form of communication from PRIZMOZI for a continuous period of 30 days, PRIZMOZI reserves the right to terminate the contract without further notice. If the client wishes to reactivate the project after contract termination due to inactivity, a reactivation fee of $300.00 will apply.

Refund Policy - Below are the outlined guidelines for a refund policy that is designed to be fair to both the client and PRIZMOZI.

• Refunds may be provided if the agency fails to meet the agreed-upon scope of work or deliverables. This means that if the agency fails to deliver what was promised, the client should be entitled to a refund.

• Refunds will not be provided if the client changes their mind or decides they no longer want the services of PRIZMOZI. 

• Refunds will be based on a percentage of the work completed. If PRIZMOZI has completed a portion of the work, they are entitled to retain a percentage of the fee based on the amount of work completed.

• Refunds will not include any expenses incurred by PRIZMOZI that were directly related to the project. This includes costs such as software licenses, stock photography, or other materials that were purchased specifically for the project.

• If a refund is requested, PRIZMOZI will review the circumstances and work with the client to find a resolution that is satisfactory to both parties. Refunds will be issued promptly once the terms of the refund have been agreed upon.

Deposit Policy - Our payment processing policy is designed to be fair and transparent for both the client and our agency. We believe that this approach helps ensure that our clients receive the best possible services and that we can operate our business efficiently and effectively.

• At PRIZMOZI, we require a $100.00 deposit before beginning work on any project. The deposit is non-refundable, meaning that if the client cancels the project or decides not to proceed with our services, the deposit will not be refunded. PRIZMOZI reserves the right to waive the deposit if we so choose for preferred and returning customers.

• This deposit serves as a commitment from the client to work with us and helps us cover our initial expenses for the project. Once the deposit is received, we will begin the process of gathering all the required information and resources we need to complete the project. 

• Once we have received all the necessary information from the client, we will request the rest of the payment to begin rendering services. We will not begin rendering services until we have received the full payment. This ensures that both the client and our agency are fully committed to the project and that we can deliver high-quality services to our clients.

• We will provide detailed information on payment options and instructions to clients during the project onboarding process.

Disclaimers - PRIZMOZI provides the services "as is" and does not make any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. PRIZMOZI does not guarantee that the services will be uninterrupted or error-free, and will not be liable for any damages resulting from the use of the services.

Indemnification - You agree to indemnify and hold PRIZMOZI harmless from any and all claims, damages, expenses, and costs arising from your use of the services or your violation of these terms and conditions.

 

Governing Law - These terms and conditions will be governed by and construed in accordance with the laws of the Tarrant County Judicial District without giving effect to any choice or conflict of law provisions.

Changes to Terms of Service - PRIZMOZI may make changes to these terms and conditions at any time. Continued use of the services following any changes constitutes acceptance of the revised terms.

Dispute Resolution - Any disputes arising from these terms and conditions or the use of the services will be resolved through binding arbitration in accordance with the rules of the Tarrant County Judicial District.

These Terms of Service are effective as of August 09, 2023.
